Terms of Service
Last updated: October 24, 2026
These Terms of Service (“Terms”) govern your access to and use of the Siltworks website, applications, and services (collectively, the “Service”). By creating an account, accepting these Terms in the Service, or placing an order, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” includes that organization.
Siltworks is operated by Sully Ventures LLC, a New York limited liability company. “We”, “us” and “our” mean Sully Ventures LLC. Section 12 requires most disputes to be resolved by individual arbitration and waives class actions.
1. The Service
Siltworks generates draft Stormwater Pollution Prevention Plan (“SWPPP”) documents, Notice of Intent (“NOI”) forms, and related materials from information you provide and from publicly available government data. Some narrative sections are drafted by an AI model. Every document is a draft for review, editing, and certification by the operator or permittee.
We are not an engineering firm and do not provide engineering, surveying, legal, or regulatory-compliance services. No Professional Engineer (PE), Qualified SWPPP Developer (QSD), or other licensed or certified professional prepares, reviews, signs, or stamps any document, and the Service is not a substitute for one where your permit or jurisdiction requires one. We do not file NOIs or any other document with an agency on your behalf and do not act as your agent: you review, sign, and submit them yourself.
2. Accounts and eligibility
You must be at least 18 years old and able to form a binding contract to use the Service. You must provide accurate registration information and keep it current. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Administrators of an organization control its projects and members.
3. Your content and responsibilities
You retain ownership of the project information and files you submit (“Customer Content”). You grant us a limited license to host, copy, and process Customer Content solely to provide, secure, and support the Service for you. You represent that you have the right to submit it.
You are solely responsible for:
- the accuracy and completeness of the information you enter;
- reviewing and, where necessary, correcting every part of a generated document before you certify, submit, or rely on it;
- the certification you sign, which you make under penalty of law;
- implementing, inspecting, and maintaining the control measures on your site; and
- compliance with every applicable federal, state, and local permit and regulation, including the Clean Water Act and the EPA Construction General Permit or its state equivalent.
4. Payment and refunds
Your first SWPPP draft is free and carries a draft watermark. The clean, signable final for a project requires a one-time payment for that project. The price depends on the project’s disturbed acreage and on any NOI add-on you select, and is shown before you pay. Payments are processed by Stripe.
Payment does not by itself produce a clean final, and we do not check whether a project qualifies for one before you pay. We issue the clean final only when the plan passes our completeness checks: the site map is embedded, no required inputs are missing, a confirmed permit version governs on the render date, and the jurisdiction’s required checks pass. Until then, including after you pay, a download gives you the watermarked draft and lists what is still needed. In some jurisdictions these checks cannot all pass, and the Service provides a draft only. If the project’s inputs change while a download is being prepared, or the clean file is unavailable, that download is the draft.
Payments are non-refundable except where the law requires a refund or where we choose to issue one, for example when the Service cannot issue the clean final for a paid project. If a payment is refunded, the clean final for that project is locked again. Each order is governed by the version of these Terms in effect when you place it.
5. Acceptable use
You agree not to misuse the Service, including by attempting to disrupt it, access it through unauthorized means, reverse engineer it, or use it to violate any law. You also agree not to remove or obscure a draft watermark, present a draft as a final plan, or state or imply that a licensed professional or Siltworks prepared or approved a document when that is not true. We may suspend or terminate access for conduct that violates these Terms.
6. Government and third-party data
The Service retrieves soils, rainfall, receiving-water, and other data from government and third-party sources using the location you provide. Those sources may be incomplete, out of date, or unavailable, and we do not control or guarantee them. Confirm every auto-filled value against site conditions.
7. Disclaimers
The Service and all generated documents are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that a generated document will satisfy any particular permit, inspection, or regulatory requirement, or that it will prevent enforcement action. Descriptions of the Service on our website are not warranties. Our Disclaimer forms part of these Terms.
8. Limitation of liability
To the maximum extent permitted by law, we and our suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages; for any loss of profits, revenue, data, or goodwill; or for any fines, penalties, stop-work orders, remediation or corrective-action costs, or other consequences of a permit violation or enforcement action. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim arose.
Nothing in these Terms limits liability that cannot be limited under applicable law, or our liability for our gross negligence or willful misconduct.
9. Indemnification
You will indemnify and hold harmless Sully Ventures LLC and its members, employees, and agents from any third-party claim, government action, fine, or penalty, including reasonable attorneys’ fees, arising out of your site or its stormwater discharges, a document you certified or submitted, your Customer Content, or your breach of these Terms, except to the extent caused by our gross negligence or willful misconduct.
10. Termination
You may stop using the Service and delete your account at any time from your account settings. We may suspend or terminate your access if you breach these Terms. Sections 3 and 6 through 14 survive termination. What happens to your data when an account or project is deleted is described in our Privacy Policy.
11. Changes to these Terms
When we change these Terms, we update the date at the top of this page and ask you to accept the new version before you continue using your account. A new version does not change the Terms that govern an order you have already placed.
12. Dispute resolution and arbitration
Before starting a claim, the party bringing it will email or write to the other describing the dispute, and both will try in good faith to resolve it informally for 30 days.
Any dispute arising out of or relating to these Terms or the Service that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, or its Consumer Arbitration Rules if you use the Service as an individual for personal purposes. The Federal Arbitration Act governs this section. Hearings will take place by video, by phone, or on written submissions, or in person in the county where you live or your business is located. The arbitrator may award the same individual relief a court could.
Either party may instead bring an individual claim in small-claims court if it qualifies. Either party may also ask a court for an injunction against infringement or misuse of its intellectual property or of the Service.
Class-action waiver. Claims may be brought only in an individual capacity, not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding, and the arbitrator may not consolidate claims of more than one party. If this waiver is found unenforceable for a claim, that claim will proceed in court under Section 13 and not in arbitration.
This section applies to disputes arising after you accept this version of these Terms.
13. Governing law and venue
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. Any claim not subject to arbitration, other than a small-claims matter, will be brought exclusively in the state or federal courts located in New York County, New York, and each party consents to the personal jurisdiction of those courts.
14. General
These Terms, together with our Privacy Policy and Disclaimer, are the entire agreement between you and us about the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent.
